Purpose Statement:

Promote the vision and goals of JKF Wado-Kai and Wado Guseikai USA, support the existing and future Wado Guseikai USA membership, and provide for the development of a financially viable international organizational system that will contribute to the global promotion and development of Wado Kai karate.

Wado Guseikai USA Rules of Operation

Purpose

Article 1

1.1 These Rules of Operation are formulated in agreement with the JFK Wado-Kai Rules for Overseas Members.

1.2 The purpose of Wado Guseikai USA Rules of Operation is to provide the standards by which the organization operates.

General Rules

Article 2

2. 1 These rules shall apply to the membership of Wado Guseikai USA (hereinafter referred to as “Guseikai” or organization).

Organization

Article 3

3.1 The organization consists of individual units of branches that are created in accordance with Article 7 of the JKF Wado-Kai Rules for Overseas Members.

3.2 The organization branches are subject to the authority of the JKF Wado-Kai Headquarters (hereinafter referred to as “the Headquarters”)

3.3 The organization operates under a not-for-profit charter.

Organization Officers

Article 4

4.1 All officer positions will be appointed in the initial organization of Wado Guseikai USA.

4.2 Organization officers include a Board of Directors, General Manager, Technical Director, President, Secretary, and Treasurer.

4.3 All officers serve a three-year term and at the end of that term, can be re-elected to the same office or any other exiting office by receiving a majority of the votes cast for that office.

4.4 It will be the responsibility of the General Manager to facilitate the election process.

4.5 The General Manager will be elected by a majority of votes cast by the membership of the existing Board of Directors.

4.6 All members in good standing will be able to cast votes in an election.

4.7 Members in good standing are those that have met all organization obligations at the time the vote is cast.

Officer Job Descriptions

Article 5

5.1 The officers of Wado Guseikai USA will promote the vision and goals of JKF Wado-Kai and Wado Guseikai USA, support the existing and future Wado Guseikai USA membership, and provide for the development of a financially viable international organizational system that will contribute to the global promotion and development of Wado Kai karate.

5.2 Board of Directors’ Duties

  • oversee the operation of Wado Guseikai USA to promote the goals of JKF Wado-Kai while maintaining the integrity and growth of Wado Guseikai USA
  • appoint and/or dissolve Standing Committees and Special Committees as needed
  • direct and advise the officers of Wado Guseikai USA
  • administrate the privileges and obligations of Wado Guseikai USA membership
  • facilitate arbitration procedures, in conjunction with legal counsel, when directed by JKF Wado-Kai Headquarters or when deemed necessary to ensure the proper functioning of Wado Guseikai USA
  • meet at least annually or as needed to ensure the proper functioning of Wado Guseikai USA
  • provide annual reports which summarize the financial status and activities of Wado Guseikai USA to the general membership and JKF Wado-Kai
  • oversee the administration of all business activities which pertain to the proper functioning of Wado Guseikai USA
  • serve as the financial committee which approves all expenditures of Wado Guseikai USA funds
  • ensure that all JKF Wado-Kai Overseas Regulations are addressed in a manner which promotes the desire of the Headquarters while maintaining the integrity and growth of Wado Guseikai USA

5.3 General Manager’s Duties

  • direct the activities of Wado Guseikai USA
  • serve as the Board of Directors presiding officer
  • serve as the primary conduit to JKF Wado-Kai in representing the affairs of Wado Guseikai USA
  • facilitates the election of officers
  • serve as the chairperson of the financial committee

5.4 Technical Director Duties

  • oversee the technical progress of Wado Guseikai USA membership
  • conduct and arrange training which promotes technical proficiency of Wado Guseikai USA membership
  • presides over all dan, titles or other qualification testing

5.5 President’s Duties

  • facilitate the development and revision of Wado Guseikai USA beliefs and mission statements as needed
  • serve as the presiding officer of meetings as required
  • provide assistance to Wado Guseikai USA membership as needed
  • serve as an administrative conduit to facilitate new Wado Guseikai USA membership and if needed, membership resignation
  • monitor and work with existing Wado Guseikai USA officers to ensure appropriate administration of Wado Guseikai USA affairs
  • supervise the privileges and obligations of Wado Guseikai USA membership
  • work cooperatively with the Wado Guseikai USA branch representatives in the promotion of JKF Wado-Kai and Wado Guseikai USA
  • direct the coordination of athletic meets, competitions, seminars, training camps, gradings, and/or other functions that promote JKF Wado-Kai and Wado Guseikai USA
  • assist in arbitration when needed and/or when directed by the Board of Directors or General Manager
  • serve as a liaison to all Wado Guseikai USA membership
  • provide an appropriate designee to facilitate Wado Guseikai USA business if circumstances prohibit in-person participation
  • monitor, administrate, and arbitrate all business activities that pertain to the proper functioning of Wado Guseikai USA

5.6 Treasurer’s Duties

  • serve as the custodian of the funds of Wado Guseikai USA
  • maintain thorough and accurate financial records
  • provide the General Manager, Board of Directors, financial committee, and President with regular reports of disbursements and income as required
  • provide quarterly treasurer’s reports to the General Manager, Board of Directors, financial committee, and President
  • make an annual financial report to the membership
  • disburse funds as required by the General Manager and/or President
  • collect and deposit all account receivables into the designated financial institution
  • file and pay all taxes on time
  • ensure that all corporate documents are completed, filed, and dues paid as required
  • maintain up-to-date insurance policies as required by the Board of Directors

5.7 Secretaries’ Duties

  • serve as the recording secretary of Wado Guseikai USA
  • maintain accurate minutes of all meetings and signs the minutes and other documents as required
  • maintain all original organization documents
  • send out all organization correspondence as required by the General Manager, Board of Directors, and/or President
  • provide updates on the web page as directed by the General Manager, Board of Directors, and/or President
  • maintain a current list of information (name, membership number, rank, phone numbers, e-mail address, and other pertinent information) for all Board members, organization officers, and membership

Admission Procedure

Article 6

6.1 Applicants must become a member of JKF Wado-Kai in accordance with membership application procedures and approval stated in article 4 of the JKF Wado-Kai Rules for Overseas Members.

6.2 Applicants requesting Guseikai membership must complete a Wado Guseikai USA membership application and forward it to the Wado Guseikai USA President who will in turn forward the application to the General Manager for consideration and approval by the Board of Directors.

6.3 Membership will be granted once approved by the Wado Guseikai USA Board of Directors.

6.4 Applicants will be notified within 60 working days as to their approval status.

Resignation Procedure

Article 7

7.1 Those wishing to resign from Wado Guseikai USA must submit a letter of resignation to the General Manager and President.

7.2 Receipt of a letter of resignation will be confirmed, in writing, within thirty days.

7.3 Those wishing to resign from JKF Wado-Kai must resign in accordance to the resignation procedures stated in article 5 of the JKF Wado-Kai Rules for Overseas Members and submit their form through Wado Guseikai USA.

7.4 Individuals who resign with or without a letter of resignation will forfeit their rights and privileges as members.

Privileges and Obligations of Membership

Article 8

8.1 Participation in any athletic meets, competitions, seminars, training camps, and/or any other events that are sponsored by JKF Wado-Kai and Wado Guseikai USA.

8.2 Acquisition of kyu grades issued by Wado Guseikai USA.

8.3 Acquisition of dan grades, titles, instructor certification, referee certification and other such qualifications issued by JKF Wado-Kai.

8.4 Receive priority distribution of bulletins, newsletters, instructional videos and other such articles made available through the affiliation with JKF Wado-Kai and Wado Guseikai USA.

8.5 Members must maintain a good standing with JKF Wado-Kai and Wado Guseikai USA by adhering to the Rules of Operation of JKF Wado-Kai and Wado Guseikai USA.

Standards for Establishing Branches

Article 9

9.1 Branches will be established according to the procedures set forth in Article 7 of the JKF Wado-Kai Rules for Overseas Members.

Function and Duties of Branches

Article 10

10.1 Function and duties of branches will be in accordance with those set forth in Article 8 of the JKF Wado-Kai Rules for Overseas Members.

Acquiring Kyu Grades

Article 11

11.1 Kyu grades can be issued independent of Wado Guseikai USA but, in this case, certificates will not be issued by the organization.

11.2 Kyu grades can be issued by Wado Guseikai USA according to branch kyu requirements or according to the suggested kyu requirements provided by Wado Guseikai USA.

11.3 Wado Guseikai USA kyu certificates will be issued at a cost of three dollars each. This money will be used at the discretion of the Board of Directors to fund the general operation of the organization.

11.4 Wado Guseikai USA kyu certificates will be issued by the organization. Certificates will be forwarded, within ten working days, to branches only after full payment has been verified.

11.5 Branch representatives are responsible for the grading of kyu grades.

11.6 Branch representatives are responsible filling out certificates acquired from Wado Guseikai USA.

11.7 It is the responsibility of the branch to provide appropriate kyu training to prepare students for success on dan testing in accordance with dan requirements set forth by JKF Wado-Kai Headquarters and the Wado Guseikai USA Technical committee.

Standards for Acquiring Dan Grades, Titles, and other Qualifications

Article 12

12.1 Membership wishing to acquire dan grades, titles or other qualifications must satisfy the requirements set forth in Article 11 of the JKF Wado-Kai Rules for Overseas Members.

Procedure for Conducting Examinations for Dan Grades, Titles, and other Qualifications

Article 13

13.1 Procedures for conducting examinations for dan grades, titles, and other qualifications must satisfy the requirements set forth in Article 12 of the JKF Wado-Kai Rules for Overseas Members.

Registration and renew responsibilities

Article 14

14.1 Registration and renew responsibilities will be in accordance with Article 13 of the JKF Wado-Kai Rules for Overseas Members and the Wado Guseikai USA Technical committee.

Functional Authority of Instructors, Referees and Qualification Examiners

Article 15

15.1 The functional authority of instructors, referees, and qualification examiners will be in accordance with Article 14 of the JKF Wado-Kai Rules for Overseas Members and the Wado Guseikai USA Technical committee.

Retroactive Application

Article 16

16.1 Retroactive application consideration will be in compliance with Article 17 of the JKF Wado-Kai Rules for Overseas Members.

Rules Interpretation

Article 17

17.1 Action regarding the interpretation and doubts concerning the regulations of JKF Wado-Kai will be in compliance with Article 19 of the JKF Wado-Kai Rules for Overseas Members.

17.2 Interpretation and application of Guseikai Rules of Operation will be made and enforced by action of the Board of Directors.

Amendment of Rules

Article 18

18.1 Amendment requests will be directed to the General Manager for review and action by the Board of Directors.

18.2 Amendment of the Wado Guseikai USA Rules of Operation will require a majority vote of the Board of Directors.

18.3 The Board of Directors will communicate all amendments to the membership within 30 working days from the date of amendment.
